Summary
This is a Director-level position providing leadership, direct and indirect supervision to subordinate managers and employees performing highly specialized roles across both the Procurement and Hardware Platform Solutions (HPS) Commercial legal functions. This role will report directly to the Assistant General Counsel HPS Direct and Channel Sales and Procurement. Responsibilities include objective setting, policy formation, interpretation and management while providing latitude and discretion to subordinates. The position is accountable for projects or programs on a multi-national or global basis, split equally between procurement legal support and HPS commercial legal matters. Work requires investigating and resolving a wide variety of highly unusual conditions that carry long-term implications. Participates with other senior managers to establish strategic plans and objectives. Makes final decisions on administrative and operational matters in area of responsibility to ensure achievement of objectives. Works independently, with little direction or guidance from supervisor. Regularly interacts with executives, customers and/or suppliers. Interactions often involve controversial situations, customer and supplier negotiations, or influencing and persuading other senior level managers.
Detailed Description
Performs tasks such as, but not limited to, the following:
Procurement (approximately 50%)
- Provides legal direction and guidance on both direct and indirect procurement matters, including the negotiation, drafting and management of supplier contracts, vendor agreements, sourcing arrangements and related commercial documentation.
- Responsible for integrating Celestica's procurement legal best practices across Celestica (subsidiaries and affiliates) worldwide.
- Provides contractual direction, support and coordination to and between Celestica's global Procurement teams and the various other departments (e.g. Supply Chain, Operations, Finance) in executing and supporting the performance of supplier contracts and other procurement-related agreements.
- Develops and maintains corporate procurement contracting policies, templates and playbooks.
- Requires the ability to evaluate and prioritize often divergent interests of Celestica and its suppliers, balancing commercial objectives with risk management and cost efficiency.
HPS Commercial (approximately 50%)
- Provides commercial legal direction and guidance to the HPS business, including the Sales, Marketing and Account Team(s), from pre-bid and contract negotiation through to the completion of the contract work.
- Provides contractual direction, support and coordination to and between Celestica's HPS commercial teams and the various other departments (e.g. Finance, Engineering, MarCom, Operations) in executing and supporting the performance of customer contracts and other agreements (e.g. licenses, sales representative agreements).
- Works closely with IP counsel to advise and direct the Hardware Design and Software Engineering Teams
- Works with the customer account teams and legal counsel (Celestica and customer) and interprets legal advice, turning it into business advice and practice.
- Makes key decisions with respect to balancing the need to be customer-responsive with that of protecting (risk management and profitability) Celestica's interests.
General
- Provides contractual direction and educational support to all participants in the contract process across both Procurement and HPS Commercial functions.
- Develops and maintains corporate contracts policy applicable to both procurement and commercial matters.
- Requires the ability to evaluate and prioritize often divergent interests of Celestica and its counterparties across both supplier and customer-facing engagements.
Knowledge/Skills/Competencies
- Excellent writing and communication skills.
- Significant experience and knowledge of legal concepts, complex commercial contract development, negotiation practices and contractual/business risk analysis across both procurement and customer-facing commercial transactions.
- Very high level of ability to independently draft sophisticated contractual documents — including supplier agreements, customer contracts and related commercial instruments — and to mentor junior team members in doing the same.
- Strong understanding of procurement law, supply chain contracting and vendor management, alongside demonstrable expertise in commercial sales contracts and customer-facing agreements.
- Ability to develop and implement new global processes in a team-based environment.
- Excellent attention to detail.
- Excellent negotiating skills, perception management skills and relationship management skills.
- Very good HR skills as well as employee/team management skills and abilities.
Physical Demands
- Duties of this position are performed in a normal office environment.
- Duties may require extended periods of sitting and sustained visual concentration on a computer monitor or on numbers, agreements and other detailed data.
- Repetitive manual movements (e.g. data entry, using a computer mouse, keyboard, etc.) are frequently required.
- Overnight travel may be required.
Typical Experience
- Seven to Twelve years of applicable experience, including experience in commercial contracts (Ontario/NY Law).
- In-house legal experience would be helpful.
Typical Education
- Bachelor's degree in related field, or consideration of an equivalent combination of education and experience.
- A legal qualification, preferably an Ontario or New York call.
- Educational requirements may vary by geography.
